Article 1

 

Name:  The name of this association shall be Macomb High School Alumni Association.

 

 

Article 2

 

Purpose:  The object and purpose of this Association shall be kept alive and perpetuate the school spirit of the Macomb High School; renew and enjoy school associations, and otherwise aid and promote the best interests of Macomb High School and the general membership of this association.

 

 

Article 3

 

Officers:  The officers of this association shall consist of a president, vice-president, recording secretary, corresponding secretary, treasurer, and a board of directors.  The duties and prerogatives of such officers shall be those as prescribed by general parliamentary law and as hereby prescribed.

 

 

Article 4

 

Election and Tenure of Office:  The above named officers of this association shall be elected at each annual meeting of the association by a committee of five members, said committee to be appointed by president, the vice-president and reporting secretary.

 

 

Article 5

 

Officers Restrictions:  The above named officers shall be chosen from the membership of the association, whether constitutional or honorary provided that no member shall be eligible for any said position unless he represents a class graduating at least one year prior to said election. Members who live out of state will not be eligible to serve on the board of directors adopted June 2011.

 

 

Article 6

 

Board of Directors:  There shall be a board of directors composed of the president, the recording secretary, the treasurer, and two additional members to be appointed by the president, provided that no two members of said board shall represent the same graduating class, nor shall any person be eligible for a position on said board unless he has been a member of the association for at least one year prior to his election or appointment.

 

 

Article 7

 

Duties of Board of Directors:  The duties of the board of directors shall be to assume jurisdiction of, and settle all questions of dispute which may arise, and to assume general control of all matters pertaining to the welfare of the association.

 

 

Article 8

 

Meetings:  There shall be held one regular annual meeting of the association, said meeting to be held in the city of Macomb, OK, the time and date of which shall be fixed by order of the board of directors, and there shall be held such special meetings as said board shall deem necessary for the regulation and transaction of all business pertaining to the association, said meetings to be held at a time and date fixed at the discretion of the board.

 

 

Article 9

 

Board of Directors Meeting:  The president of the association may call a meeting of the board of directors at any reasonable time and place which he may designate, and for any purpose involving the interests of the association.

 

 

Article 10

 

Quorum:  A majority of the whole membership of the board of directors shall constitute a quorum, and a majority of the quorum present shall have power to transact business.   The same rule shall apply to any committee of the association.

 

 

Article 11

 

Membership:  All members of all graduating classes of the Macomb High School and all persons heretofore elected, as honorary members, are hereby declared members of the association.  The Macomb Superintendent of Schools at the time of any regular meeting of the association shall be entitled to attend.  All honorary members elected after the adoption of this constitution shall first be recommended for membership by the board of directors and shall become members by a majority vote at the next general meeting of the association.

 

 



Article 12

 

Honorary Membership:  Any instructor who serves four years, consecutively or in total, in the Macomb School System, may be elected as honorary members of the association, subject to the above rule.

 

 

Article 13

 

Special Invitations:  All present instructors and school board members of Macomb School shall be invited to the annual banquet.

 

 

Article 14

 

Dues:  The dues of each member of the association shall be fixed by the board of directors and shall be paid annually, and not later than the regular annual meeting date of the association.

 

 

Article 15

 

Tenure of Office:  The term of office of all officers, members of the board of directors and committee members shall embrace a period of one year following the date of their election or appointment.

 

 

Article 16

 

Business Meeting:  The annual business meeting of the association shall convene and be held at Macomb School at 10 o’clock a.m. on the day of the regular meeting of the association and an annual banquet shall be held at the auditorium and begin promptly at 6 o’clock p.m. on the same day.

 

 



Article 17

 

Scholarships:  Open Senior scholarship application February of each year delivering applications to the senior class with a deadline of April for review by the Alumni Board of Directors. The meeting for application review will be determined by the Alumni President and during such meeting of the board of directors recipients may be determined and awarded a scholarship by vote of the board. Scholarships may be awarded each year but will be subject to availability of funds.

 

Open Adult Scholarship Application February of each year posting the application to the association’s website and social media with a deadline of April for review by the Alumni Board of Directors. The meeting for application review will be determined by the Alumni President and during such meeting of the board of directors the recipient may be determined and awarded a scholarship by vote of the board. One or more adult scholarship may be awarded each year but senior scholarships will take priority due to availability of funds. (Adopted 6/27/2015) (Modified 6/24/2017)



Article 18

 

Bylaws and Rules:  The terms and provisions of this constitution may be amended at any regular meeting of the association by a vote of two-thirds of the members present, providing that any such proposed amendment shall be submitted to the board of directors not less than ten days prior to the said regular meeting.  Any rule, provision or resolution not inconsistent with the provisions of these articles may be adopted by a vote of the majority of the members attending any meeting of the association.  And whenever the provisions of these articles rules or bylaws do not govern, the conduct of the proceedings shall be governed by the provision of the parliamentary law.
